1. Acceptance

These Terms of Service ("Terms") govern your access to and use of carvetrace.com (the "Site"), the in-browser verifier at verify.carvetrace.com (the "Public Verifier"), and the open-source verifier libraries we publish under permissive licenses (collectively, the "Free Services"). By using any Free Service you accept these Terms. If you do not accept them, do not use the Free Services.

Use of CarveTrace commercial software — the CLI, server, SDKs, adapters, and operator UI distributed under our proprietary commercial license — is governed primarily by the executed Order Form and Master Subscription Agreement between Aryamind SARL and your organization, supplemented by the Data Processing Agreement where personal data is involved. Where a conflict arises between an executed Order Form / MSA and these Terms, the Order Form / MSA controls.

4. No warranty on the Free Services

The Free Services are provided "as is" and "as available" to the maximum extent permitted by applicable law. We make no warranty that the Site or the Public Verifier will be uninterrupted, error-free, fit for a particular purpose, or that the verifier's verdict will be accepted by any specific regulator, auditor, or court. The Public Verifier is offered as a convenience — for compliance use you should run the equivalent verifier locally (the open-source libraries produce byte-identical verdicts).

5. Limitation of liability for Free Services

To the maximum extent permitted by applicable law, Aryamind SARL's aggregate liability arising out of or relating to your use of the Free Services — including direct, indirect, incidental, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or substitute-service costs — is limited to €100 EUR. This limitation applies regardless of the legal theory under which the liability arises. Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, death or personal injury, or any other liability that French law does not permit to be excluded.

6. The CarveTrace commercial software

The CarveTrace commercial software is licensed, not sold, under the terms of the Order Form and MSA executed between your organization and Aryamind SARL. The headline points :

7. Fees and payment

Subscription fees are stated on the Order Form, exclusive of value-added tax, withholding tax, or any other tax applicable to your jurisdiction, all of which are your responsibility. Invoices are issued in EUR by default, on commencement of the term and annually thereafter. Net 30 days from invoice date unless the Order Form specifies otherwise. Late payments accrue interest at the higher of the European Central Bank refinancing rate plus 10 percentage points, or the rate set by French Commercial Code Art. L441-10. Any disputed amount must be raised in writing within 30 days of the invoice ; undisputed portions remain payable on the original due date.

8. Confidentiality

Each party agrees to treat the other party's non-public information disclosed in connection with the commercial relationship as confidential, to use it only to perform under the MSA, and to protect it with at least the same degree of care it uses for its own confidential information of similar sensitivity, but in no case less than reasonable care. This obligation survives termination by 5 years ; for trade secrets, it survives indefinitely while the information retains trade-secret character. The DPA contains specific confidentiality terms for personal data ; in case of conflict the DPA controls for that subject matter.

9. Intellectual property

Aryamind SARL retains all right, title, and interest in and to the CarveTrace commercial software, the CarveTrace name and Carve/Trace wordmark, the Site design system, and all related intellectual property. You retain all right, title, and interest in and to your data, your AI systems, and the configuration you create using the commercial software. Feedback you voluntarily provide is licensed to Aryamind SARL on a non-exclusive, royalty-free, perpetual basis to use in improving the product, with no obligation of attribution and no obligation to implement.

10. Warranty and liability for commercial software

Aryamind SARL warrants that the commercial software will, during the subscription term, materially perform in accordance with its then-current documentation when deployed within its supported environment. Your sole and exclusive remedy for breach of this warranty is, at Aryamind SARL's option, (i) correction of the non-conformity within a reasonable period, (ii) replacement with software of equivalent functionality, or (iii) refund of the fees paid for the affected period. Outside this warranty, the commercial software is provided "as is" to the maximum extent permitted by law.

Aryamind SARL's aggregate liability under the commercial relationship in any 12-month period is limited to the fees paid by your organization in the 12 months preceding the event giving rise to the liability. This cap does not apply to liability for gross negligence, willful misconduct, death or personal injury, infringement of a party's intellectual property rights, or any other liability that applicable law does not permit to be excluded.

11. Acceptable Use

You will not use the Free Services or the commercial software (a) for any unlawful purpose ; (b) to infringe third-party rights ; (c) to interfere with the security, integrity, or availability of the Service or any third party's systems ; (d) to attempt to reverse-engineer, decompile, or derive the source of the commercial software except to the extent applicable law expressly authorizes such reverse-engineering notwithstanding contractual restriction.

12. Termination

Either party may terminate the commercial relationship on 30 days' prior written notice if the other party materially breaches the MSA and fails to cure within that notice period. Either party may terminate immediately on written notice if the other party (a) becomes insolvent, (b) enters insolvency proceedings, or (c) breaches the confidentiality or intellectual-property terms. On termination you must, within 30 days, cease all use of the commercial software and certify destruction or de-installation. Sections that by their nature survive termination — including confidentiality, intellectual property, indemnity, limitation of liability, and dispute resolution — survive.

13. Governing law and venue

These Terms and any non-contractual obligation arising out of or in connection with them are governed by the laws of France, excluding its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. The parties submit to the exclusive jurisdiction of the courts of Paris, France, subject to mandatory consumer-protection rules in your country of residence where you are a consumer.

14. Changes to these Terms

We may revise these Terms from time to time. Material changes affecting customers with an active commercial agreement will be notified by email at least 30 days before they take effect. Continued use of the Free Services after the effective date constitutes acceptance for non-customers. For customers, the version of these Terms in effect at the Order Form Effective Date controls, except as otherwise required by law.
